1. Agreement
These Terms & Conditions ("Terms") form a binding agreement between you and Clockd ("Clockd", "we", "us", or "our") governing your access to and use of the Clockd mobile application, web dashboard, client portal, and any related services (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the Services. If you use the Services on behalf of a law firm or organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.
3. Your account
You must give accurate details and keep them current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Accounts are personal, and logins should not be shared between people, since shared logins make time records unattributable. Notify us immediately at hello@getclockd.com of any unauthorized use. We are not liable for loss arising from your failure to safeguard your credentials.
4. License & acceptable use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes. You agree not to:
- Copy, modify, reverse engineer, or create derivative works of the Services;
- Use the Services to violate any law or third-party right, including intellectual-property rights and attorney-client privilege obligations;
- Interfere with the operation, security, or integrity of the Services, or attempt to access another firm's data;
- Access the Services to build a competing product or for benchmarking without written consent;
- Resell the Services, scrape them at scale, or access them by automated means outside our published interfaces;
- Upload viruses, malware, or any content that is unlawful, defamatory, or harmful.
5. Your content
You retain all rights to the data, files, and content you submit to the Services ("Your Content"), including clients, matters, time entries, invoices, notes and correspondence. You grant Clockd a worldwide, non-exclusive license to host, process, and display Your Content solely to provide the Services. We do not use Your Content for our own commercial purposes, and we do not use it to develop, improve or train generalized artificial intelligence or machine learning models. You are solely responsible for Your Content and for ensuring you have the rights necessary to submit it. You can export Your Content at any time, and for 30 days after your account closes.
6. Automatic capture & professional responsibility
Clockd is a tool for recording work. It does not provide legal advice and is not a substitute for your own professional judgment. Time captured automatically from calls, calendar events or email is created as a pending suggestion and is never billed to a client until someone at your firm reviews and confirms it.
You remain solely responsible for the accuracy of what you record, for what you charge your clients, and for meeting your professional, ethical and trust-accounting obligations. We do not warrant that automatic capture will identify every billable activity, or that it will never suggest one in error.
7. Connected third-party services
Connecting a calendar, mailbox or phone capability means those providers' own terms and privacy policies also apply to your use of them. Where you connect a Google account, Clockd's use of that data is described in section 4 of our Privacy Policy and is limited to read-only access used to create draft time entries. We are not responsible for a third-party service being unavailable, changing, or withdrawing access. You can disconnect at any time.
8. Confidentiality & privilege
Each party will protect the other's confidential information with at least reasonable care and use it only for the purpose of this agreement. We recognize that material held in Clockd may be subject to attorney-client privilege and the work-product doctrine, and we handle it accordingly. This obligation survives termination.
9. Fees & subscriptions
Clockd is billed monthly in advance, based on a base plan plus the number of active users in your firm. Fees, billing cycles, and plan details are presented at checkout. Adding or removing people changes what you pay from the next billing period. Free trials convert to a paid subscription automatically at the end of the trial unless you cancel beforehand. Fees exclude taxes unless stated. If a payment fails we will retry and notify you before restricting access. You may cancel at any time from Settings, effective at the end of the current period. Fees are non-refundable except as required by law. We may change our prices with reasonable advance notice, and continued use of a paid plan after a price change means you accept the new price.
10. Availability & support
We aim to keep Clockd available continuously, but we do not guarantee uninterrupted service, and we may take it down for maintenance. Support is provided by email at hello@getclockd.com.
11. Intellectual property
The Services, including all software, design, text, graphics, and trademarks, are owned by Clockd or its licensors and are protected by copyright, trademark, and other laws. Except for the limited license granted above, no rights are granted to you. Feedback you send us may be used without obligation to you.
12. Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Clockd does not warrant that the Services will be uninterrupted, error-free, or secure. Clockd is not a law firm and does not provide legal advice; the Services do not replace professional judgment. Nothing in these Terms excludes liability that cannot lawfully be excluded, including under consumer law where it applies to you.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CLOCKD OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100. These limits do not apply to your payment obligations or to either party's breach of its confidentiality obligations.
14. Indemnification
You agree to defend, indemnify, and hold harmless Clockd, its affiliates, and personnel from any claims, liabilities, damages, losses, and expenses arising out of your use of the Services, your violation of these Terms, or your infringement of any third-party right.
15. Termination
You may stop using the Services and close your account at any time. We may suspend or terminate access where you materially breach these Terms, where you pose a security or legal risk, where required by law, or if we discontinue the Services, giving notice and an opportunity to fix the problem where it is reasonable to do so. Upon termination, your right to use the Services ends. You can export Your Content for 30 days after closure, after which it is deleted or anonymized as described in the Privacy Policy. Provisions that by their nature should survive will survive.
16. Governing law & disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You and Clockd agree to resolve any dispute exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction there. Where applicable, nothing in this section limits any non-waivable rights you have under your local law.
17. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, notify you through the app or by email at least 30 days before they take effect. Your continued use of the Services after changes take effect means you accept the updated Terms. If you do not accept them, you may cancel before they take effect.
