1. Agreement
These Terms & Conditions ("Terms") form a binding agreement between you and Clockd ("Clockd", "we", "us", or "our") governing your access to and use of the Clockd mobile application, web dashboard, client portal, and any related services (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the Services. If you use the Services on behalf of a law firm or organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.
3. Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at support@getclockd.com of any unauthorized use. We are not liable for any loss arising from your failure to safeguard your credentials.
4. License & acceptable use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes. You agree not to:
- Copy, modify, reverse engineer, or create derivative works of the Services;
- Use the Services to violate any law or third-party right, including intellectual-property rights and attorney-client privilege obligations;
- Interfere with the operation, security, or integrity of the Services;
- Access the Services to build a competing product or for benchmarking without written consent;
- Upload viruses, malware, or any content that is unlawful, defamatory, or harmful.
5. Your content
You retain all rights to the data, files, and content you submit to the Services ("Your Content"). You grant Clockd a worldwide, non-exclusive license to host, process, and display Your Content solely to provide and improve the Services. You are solely responsible for Your Content and for ensuring you have the rights necessary to submit it.
6. Fees & subscriptions
Certain features may require a paid subscription. Fees, billing cycles, and plan details are presented at checkout. Subscriptions renew automatically unless canceled before the next billing period. All fees are non-refundable except as required by law. We may change our prices with reasonable advance notice; continued use of a paid plan after a price change means you accept the new price.
7. Intellectual property
The Services, including all software, design, text, graphics, and trademarks, are owned by Clockd or its licensors and are protected by copyright, trademark, and other laws. Except for the limited license granted above, no rights are granted to you.
8. Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Clockd does not warrant that the Services will be uninterrupted, error-free, or secure. Clockd is not a law firm and does not provide legal advice; the Services do not replace professional judgment.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CLOCKD OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100.
10. Indemnification
You agree to defend, indemnify, and hold harmless Clockd, its affiliates, and personnel from any claims, liabilities, damages, losses, and expenses arising out of your use of the Services, your violation of these Terms, or your infringement of any third-party right.
11. Termination
You may stop using the Services and close your account at any time. We may suspend or terminate your access if we believe you have violated these Terms, if required by law, or if we discontinue the Services. Upon termination, your right to use the Services ends; provisions that by their nature should survive will survive.
12. Governing law & disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You and Clockd agree to resolve any dispute exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction there. Where applicable, nothing in this section limits any non-waivable rights you have under your local law.
13. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, notify you through the app or by email. Your continued use of the Services after changes take effect means you accept the updated Terms.
